1. Acceptance of Terms
By creating an account or using LiveLedger (“the Service”), you agree to these Terms of Service (“Terms”). If you are using LiveLedger on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.
2. Description of Service
LiveLedger is an agency operating system for TikTok LIVE creator agencies. It provides tools for tracking creator performance, calculating payouts, monitoring benchmark progress, managing incentive programs, and generating AI-powered intelligence reports including risk analysis, opportunity identification, and executive advisory content.
3. Your Account
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must provide accurate information when creating your account and promptly notify LiveLedger of any unauthorized access.
Each agency account may have multiple users with role-based permissions. The agency owner is responsible for managing team member access and ensuring all users comply with these Terms.
4. Your Data and Data Ownership
You retain full ownership of your agency-specific data, including creator performance data you import, agency configurations, uploaded files, and reports generated from your data. LiveLedger does not claim ownership of your agency-specific information.
By using the Service, you grant LiveLedger a limited, non-exclusive license to store, process, and display your data solely to provide the Service to you. You represent and warrant that you have the right to upload and process the creator performance data you import into LiveLedger.
5. Aggregated and Anonymized Data Rights
LiveLedger may collect, use, and commercially exploit data that has been aggregated, anonymized, or de-identified such that individual agencies, creators, and users cannot be reasonably identified (“Aggregated Data”). This right survives account cancellation or termination indefinitely.
LiveLedger may use Aggregated Data to:
- Improve the platform, including analytics engines, recommendation systems, and forecasting models
- Develop, operate, and commercialize industry benchmarking products, performance standards, and market intelligence reports
- Train, validate, improve, test, and develop artificial intelligence systems, machine learning systems, forecasting models, analytics engines, benchmarking systems, recommendation engines, decision-support systems, and statistical and predictive models
- Conduct research, statistical analysis, and publish industry trend reports
- Create percentile rankings, industry averages, and comparative performance metrics
LiveLedger may develop, license, sell, publish, distribute, and commercialize benchmarking products, industry reports, market intelligence products, performance indexes, scoring methodologies, trend analyses, and statistical insights derived from Aggregated Data. LiveLedger's rights to Aggregated Data, anonymized data, de-identified data, benchmarking outputs, statistical models, intelligence products, and derived analytics survive termination of any customer account and continue indefinitely.
LiveLedger will not, without your explicit written permission:
- Publish or disclose your agency name or identifying information
- Publish or disclose individual creator names or their specific performance metrics
- Attribute specific performance figures, payout amounts, or operational data to your agency
- Disclose your agency-specific configurations, benchmarks, or proprietary information
Aggregated Data outputs may be used commercially and distributed to third parties. These outputs do not constitute a disclosure of your confidential information because they cannot reasonably be used to identify you or your agency.
6. Feedback and Suggestions
Any feedback, suggestions, enhancement requests, recommendations, ideas, comments, or other input provided by users regarding the Service (“Feedback”) may be used by LiveLedger without restriction and without any obligation to provide compensation, attribution, or ownership rights to the user.
You grant LiveLedger a perpetual, irrevocable, worldwide, royalty-free license to use, modify, incorporate, and commercialize Feedback for any purpose related to the development, improvement, operation, marketing, or expansion of the Service.
7. Beta Services
Certain features or functionality may be identified as beta, preview, experimental, or early-access features (“Beta Services”).
Beta Services may contain bugs, inaccuracies, interruptions, or incomplete functionality. LiveLedger may modify, suspend, discontinue, or remove Beta Services at any time without liability. Beta Services are provided for evaluation and testing purposes and may not be suitable for production use. Users acknowledge that Beta Services are used at their own risk.
8. AI-Generated Content
LiveLedger uses artificial intelligence to generate advisory reports, recommendations, risk assessments, and opportunity analyses. All AI-generated content is provided for informational and operational support purposes only. It does not constitute financial, legal, tax, or professional business advice. Payout calculations are recommendations only — you are solely responsible for verifying accuracy before making payments to creators or other parties. LiveLedger is not liable for decisions made based on AI-generated content.
9. Confidentiality
LiveLedger treats your agency-specific operational data as confidential. We will not disclose your agency's specific performance data, payout information, creator data, or benchmark configurations to other customers or to the public without your explicit permission. Access to your data is limited to authorized users, platform operations, and security and compliance functions.
10. Acceptable Use
You agree not to use LiveLedger to:
- Upload data you do not have the right to process
- Attempt to access, reverse engineer, or copy the platform or other customers' data
- Interfere with or disrupt the Service or its infrastructure
- Use the Service for any unlawful purpose or in violation of applicable law
- Upload false, misleading, or fraudulent performance data
11. Intellectual Property
LiveLedger and its licensors own all intellectual property rights in the Service, including the platform software, intelligence engines, AI systems, benchmarking methodologies, and all derived works. Nothing in these Terms transfers any LiveLedger intellectual property to you.
Aggregated and anonymized intelligence products, benchmarks, and industry reports created using Aggregated Data are the intellectual property of LiveLedger.
12. Service Availability
LiveLedger is provided on a commercially reasonable efforts basis. During beta, we make no guarantees of uptime, availability, or data retention. We may modify, suspend, or discontinue features with reasonable notice. We are not liable for any interruption or unavailability of the Service.
13. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. LiveLedger does not warrant that the Service will be error-free, uninterrupted, or that reports and recommendations will be accurate or complete.
14. Limitation of Liability
To the maximum extent permitted by applicable law, LiveLedger shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, or data, arising out of or related to your use of the Service.
LiveLedger's total liability shall not exceed the amounts paid by you to LiveLedger in the twelve months preceding the claim.
15. Termination
Either party may terminate these Terms at any time. Upon termination, your access to the Service will cease. Subject to technical limitations and applicable law, LiveLedger will provide a reasonable method for exporting customer-owned agency data upon request before account termination.
Sections 4 (Data Ownership), 5 (Aggregated Data Rights), 6 (Feedback), 9 (Confidentiality), 11 (Intellectual Property), 13 (Disclaimer), 14 (Limitation of Liability), and 16 (General) survive termination.
16. General
These Terms constitute the entire agreement between you and LiveLedger regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. LiveLedger's failure to enforce any right does not constitute a waiver.
These Terms shall be binding upon and inure to the benefit of the parties and their respective successors, assigns, affiliates, acquirers, and permitted transferees. LiveLedger may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, financing transaction, reorganization, or sale of assets.
We may update these Terms. Material changes will be communicated through the platform. Continued use after changes constitutes acceptance of the updated Terms.
